These license terms govern the rights to use software modules, extensions, plugins, add-ons, license keys, documentation and related digital content supplied by Zserver s.r.o..

2. Introductory provisions

Unless expressly stated otherwise for a specific Product or in an individual agreement, the Licensor provides the Buyer only with a non-exclusive, non-transferable and non-sublicensable license within the scope defined by these license terms, the Product description and the order confirmation.

Copyright, database rights, trade secret rights, know-how and other intellectual property rights in and to the Product remain with the Licensor or its licensing partners.

3. Scope of the license

Unless stated otherwise in the Product description, the license entitles the Buyer to:

  • use the Product for the Buyer's own internal purposes or for operating the Buyer's own website or e-shop,
  • install the Product on one production installation,
  • use the Product for the period stated for the Product or, if no period is stated, for an unlimited period in relation to the specific delivered version.

If stated for the Product or expressly permitted by the Licensor, the license may also include one testing or staging installation of the same project.

The license applies only to the scope, number of installations, number of domains, environments or customer account specified in the order, activation or Product description.

4. What is permitted

The Buyer is entitled to:

  • install and operate the Product within the scope corresponding to the purchased license,
  • create reasonable backup copies necessary for operation and recovery,
  • make reasonable modifications to the Product for the Buyer's own use, provided that such modifications do not breach these license terms, do not remove protection measures and do not affect parts whose modification is expressly prohibited.

By making modifications, the Buyer does not acquire any rights to the original Product beyond the license granted.

5. What is prohibited

Without the Licensor's prior written consent, the Buyer may not in particular:

  • resell, transfer, sublicense, rent, lend or otherwise make the Product or any part of it available to a third party,
  • reproduce the Product beyond what is necessary for authorised use,
  • use one license for multiple separate production projects, multiple customers or multiple unrelated installations,
  • remove, circumvent or interfere with licensing, activation, security or identification mechanisms,
  • remove author notices, copyright notices, trademarks or other legal notices,
  • publicly distribute the Product source code or its non-public parts,
  • use the Product as a basis for competing commercial distribution.

If the Buyer is an agency, administrator or developer acting for an end customer, it must be clear when ordering or activating the Product for which specific project the license is being acquired.

6. Source code, modifications and technical protection

Unless expressly stated otherwise for the Product or in the contract, purchasing the Product does not by itself create any entitlement to delivery of the full source code in a separate developer mode, to unrestricted redistribution of the Product or to removal of technical protection measures.

The Licensor may use obfuscation, compilation, encryption, digital signatures, local license files or other reasonable technical protection measures for parts of the Product. The Buyer may not circumvent such measures.

If the Product is supplied in a more open form and allows ordinary modifications of templates, hooks or configuration parts, the Buyer may modify such parts for the Buyer's own use. This does not give the Buyer any right to further commercially distribute the Product.

7. Activation and license checks

The Product may require activation. Activation may in particular be performed by:

  • entering a license key,
  • verifying the project domain or URL,
  • generating and downloading a local license file,
  • communication with the Licensor's license server.

The Buyer acknowledges that the license entitlement may be linked for example to a domain, installation URL, installation identifier, environment type or customer account.

If, after activation, the Product operates with a local license file, any unauthorised modification of that file or its use for another installation constitutes a breach of the license.

8. Updates and support

Unless stated otherwise for the Product or in the contract, the license itself does not necessarily include future updates, new versions or individual support for an unlimited period.

If the Product includes a time-limited period of support or updates, that period applies only for the time expressly stated in the Product description, the order or the customer account.

This does not affect any mandatory Consumer rights arising from defects or any statutory obligation of the Licensor to provide necessary updates for a certain period where required by law or agreed in the contract.

The Licensor may refuse support or updates in particular if:

  • the Buyer uses an illegal or shared license,
  • the Product has been modified in an unauthorised manner that prevents safe assessment of the issue,
  • the Buyer uses an unsupported technical environment,
  • the issue arose as a result of intervention by a third party or another module.

9. Third-party rights and open source components

The Product may contain third-party components or depend on them. If the Product includes components provided under a separate open source license or other third-party license terms, those third-party license terms apply to such components with priority.

The Buyer acknowledges that breach of third-party license terms may also affect the lawful use of the Product as a whole.

10. Custom development and reusable parts

If the Product is created as a custom solution or modified on a bespoke basis, the scope of the rights to use it is governed primarily by the individual agreement.

Unless expressly stated otherwise in the individual agreement:

  • the Buyer acquires the right to use the bespoke solution for the Buyer's specific project,
  • the Licensor retains rights to general know-how, architecture, procedures, libraries, reusable parts and other parts that can reasonably be used in other projects,
  • the mere creation of a bespoke solution does not grant the Buyer the right to further commercially distribute or license that solution to third parties.

If the Buyer seeks an exclusive license, a transfer of selected economic rights or a broader right of distribution, such rights must be expressly agreed in writing and will usually be subject to separate pricing.

11. Breach of the license

In the event of a breach of these license terms, the Licensor may require the Buyer to immediately stop the unauthorised use of the Product, remove unauthorised copies, refrain from further breaches and compensate the resulting loss or damage to the extent permitted by law.

Where proportionate to the nature of the breach, the Licensor may suspend the availability of updates, support or licensing services connected with the affected license.

12. Consumers

If the Buyer is a Consumer, these license terms do not affect any Consumer rights that cannot be validly waived under applicable law.

13. Final provisions

These license terms form an integral part of the contractual relationship between the Licensor and the Buyer.

Legal relationships not expressly governed by these license terms are governed by the business terms and conditions, the individual agreement and the applicable legal regulations.

The Licensor may unilaterally amend or supplement these license terms. For any specific order, the version effective at the moment the order is submitted by the Buyer is decisive.

These license terms become effective on 2026-06-03.
